The entire direction and management of the affairs of the Corporation is vested in the Board of Directors, and the Board of Directors has the complete and exclusive discretion to determine all investments and reinvestments and all expenditures, disbursements, and distributions to be made in carrying out the purposes of the Corporation. The business and affairs of the Corporation shall be managed by the Board of Directors.
